Amending Your Oregon LLC — Name, Address & Structure Changes
When your Oregon LLC's information changes, you must update the Secretary of State's records by filing Articles of Amendment. This applies to changes in your LLC's name, registered agent, management structure, or other provisions in your original Articles of Organization. What Requires an Amendment
Under the Oregon LLC Act (ORS Chapter 63), you must file Articles of Amendment when changing:

Key distinction: Changes to information IN the Articles of Organization require an amendment filing. Changes to information reported on the Annual Report (addresses, member/manager lists) can be updated when you file your next Annual Report — no separate amendment needed.
How to File an Amendment
Online (recommended):
- Go to sos.oregon.gov — Business Registry
- Search for your LLC by name or Registry Number
- Select "File Amendment" from available actions
- Enter the changes
- Pay $100 fee
- Submit — processed in 2-3 business days
By mail:
- Download Articles of Amendment form from sos.oregon.gov
- Complete the form specifying which provisions are being amended
- Include a check for $100
- Mail to: Secretary of State, Business Registry Division, 255 Capitol St NE Suite 151, Salem, OR 97310-1327
- Processing: 2-3 weeks

- New name must comply with the Oregon LLC Act (ORS Chapter 63) (include "LLC" designator, be distinguishable from existing entities)
- Search name availability before filing the amendment
- After approval, update: EIN records (write to IRS), bank accounts, contracts, city business licenses, domain names, marketing materials
- The name change is effective on the date the amendment is processed (or a future date you specify, up to 90 days out)
Changing Registered Agent
Registered agent changes use a specific form (Statement of Change) rather than Articles of Amendment:
- Filed by the LLC (not the agent)
- New agent must consent to the appointment
- New agent must have a physical Oregon street address
- Previous agent's duties end when the change is processed
- Agent can also resign by filing their own notice with the Secretary of State (LLC then has 30 days to appoint a new agent)

Updating Your Operating Agreement
Changes to your operating agreement do NOT require any state filing. The operating agreement is a private document:
- Amend it according to the amendment procedure in the agreement itself
- All members should sign the amendment
- Keep copies with your LLC records
- No filing with the Secretary of State is needed

Not necessarily. If your principal office address or mailing address changes, you can update it on your next Annual Report filing ($0 additional cost). You only need a separate amendment if the change involves the registered agent address or the LLC name.
How long does an amendment take to process?
Online filings: 2-3 business days. Mail filings: 2-3 weeks. The effective date is when the Secretary of State processes the amendment (or a future date you specify in the filing).
Can I change from member-managed to manager-managed?
Yes. File Articles of Amendment changing the management structure. This is a significant governance change — make sure you also update your operating agreement to reflect the new management structure, specify who the managers are, and define their authority.
Is there a limit on how many amendments I can file?
No. You can file as many amendments as needed. Each one costs $100. If you anticipate multiple changes, consider whether you can consolidate them into a single amendment filing to save on fees.
