Change Your Oregon LLC Registered Agent
If you need to change your Oregon LLC's registered agent — whether switching to a new service, moving to a new individual, or updating an agent's address — you must file a Statement of Change with the Secretary of State. Operating without a valid registered agent violates the Oregon LLC Act (ORS Chapter 63) and can lead to administrative dissolution. For all compliance requirements, see our after-formation overview. For registered agent requirements, see our registered agent guide.
When to Change Your Registered Agent
- Moving out of state — If you served as your own agent and are relocating, you need an Oregon-based replacement
- Switching services — Moving from one professional agent to another
- Agent resigned — Registered agents can resign by filing notice with the Secretary of State (you have 30 days to replace them)
- Reliability concerns — If your agent missed forwarding important documents (lawsuits, compliance notices)
- Privacy — If you've been using your personal address and want a professional agent instead
- Cost — Switching to a more affordable registered agent service

Requirements for the New Agent
Ready to get started?
Get StartedUnder the Oregon LLC Act (ORS Chapter 63), your new registered agent must:
- Have a physical street address in Oregon (no PO boxes, no virtual offices)
- Be an individual resident of Oregon OR a business entity authorized in Oregon
- Consent to the appointment before you file
- Be available during normal business hours at the registered address
The LLC itself cannot serve as its own registered agent.
If Your Agent Resigns
Under the Oregon LLC Act (ORS Chapter 63), a registered agent can resign by filing a notice with the Secretary of State. When this happens:
- The Secretary of State notifies your LLC at its mailing address on file
- You have 30 days to designate a new agent
- If you don't appoint a new agent within 30 days, you're in violation of the Oregon LLC Act (ORS Chapter 63)
- Continued non-compliance can lead to administrative dissolution
Don't ignore agent resignation notices. Without a valid agent, you could miss service of process on a lawsuit and have a default judgment entered against your LLC without ever knowing about it.

FAQ
Ready to get started?
Get StartedCan I change my registered agent on my Annual Report?
Yes. The Annual Report includes registered agent information. If you update it there, that serves as the official change — no separate Statement of Change needed. If you need to change mid-year and your Annual Report isn't due soon, file the separate Statement of Change (no fee).
How quickly does the change take effect?
Online filings: 2-3 business days from submission. The new agent's obligation begins when the change is processed on the Business Registry. The old agent's responsibility ends at the same time.
Do I need to notify my old agent?
The Secretary of State doesn't require it, but it's good practice. Your old agent may continue to receive mail for a transition period. Arranging mail forwarding ensures nothing falls through the cracks.
What if my agent and I have a dispute?
You can change agents at any time without the current agent's consent. File the Statement of Change designating a new agent, and the switch is effective when processed. If the old agent refuses to forward documents, that's a separate legal matter.
