Oregon's LLC fee schedule is short and flat: $100 to form, $100 each year to renew, and $0 to change your registered agent. There is no franchise tax and no sales tax stacked on top. Two things worth knowing about the annual report: there is no late fee, and there is also no cushion. An LLC that does not file faces administrative dissolution under ORS 63.647, with reinstatement under ORS 63.654. Taxes run through the Oregon Department of Revenue, and for most LLCs they look like this: no sales tax at all, personal income tax on profits that pass through to members, and the Corporate Activity Tax only once commercial activity tops $1 million in a year. What is the minimum I can pay the state to form an Oregon LLC?

$100, the Articles of Organization fee. Preparing and filing your own articles through the Oregon Business Registry involves no other mandatory state charge.

Is there a late fee if the annual report slips?

No late fee exists. The risk is structural instead: failure to file leads to administrative dissolution under ORS 63.647, and coming back means reinstatement under ORS 63.654 rather than paying a penalty.

What does Oregon charge to switch registered agents?

Nothing. The Information Change filing is listed at $0.00 on the fee schedule, and the paper form is stamped No Processing Fee. It can be filed on paper or online (ORS 63.114).

Why do foreign LLCs pay more?

The fee schedule sets the foreign rate at $275 for both the initial Application for Authority and each annual renewal, versus $100 for domestic LLCs. If your out-of-state LLC needs Oregon registration, our foreign qualification service is $199 plus those state fees.
